Terms & Conditions – Website Development Services (OotyTech)

These Terms & Conditions (“Terms”) govern all website design, development, digital services, and related work provided by OotyTech (“we”, “us”, “our”) to the client (“you”, “your”, “client”). By engaging our services, you agree to these Terms.

1. Scope of Services

OotyTech provides professional website design, development, digital content implementation, consultation, and related services as mutually agreed in the project proposal or quotation.

Unless specifically stated in writing, our services do not include:

  • Guarantees of leads, traffic, rankings, or sales
  • Legal, financial, or compliance advisory
  • Ongoing maintenance unless included in a paid maintenance plan
  • Hosting, domains, or email services unless purchased as an add-on

2. Project Requirements & Client Responsibilities

To deliver efficiently, the client agrees to:

  • Provide accurate business details, branding guidelines, and objectives
  • Supply all text content, images, branding, logos, videos, and materials
  • Provide access to hosting, domain, control panel, or third-party tools
  • Respond to emails, approvals, and feedback within reasonable timelines

If suitable content is not provided, the client authorizes OotyTech to use royalty-free or licensed resources where possible. The client is responsible for ensuring all provided content is legal, licensed, and non-infringing.

OotyTech is not responsible for copyright violations due to content supplied by the client.

3. Revisions & Change Requests

We believe in fair and reasonable revisions.

Included Revisions

Unless otherwise stated, our standard development packages include:

  • Up to 2 major revisions during design phase
  • Up to 3 rounds of reasonable content/layout edits after development

Not Included / Extra Charges Apply

Additional or excessive revision requests may be billed separately. Examples include:

  • Multiple design changes after approval
  • Structural redesigns
  • New functionality requests beyond agreed scope
  • Late-stage “complete redesign” requests
  • Continuous minor tweak cycles
  • Client change of mind or internal decision changes

Revision fairness will be determined by OotyTech based on logical scope.

4. Timelines & Delays

Estimated delivery timelines are provided as guidance and depend on:

  • Client response times
  • Content submission
  • Approval timelines
  • Feature complexity

Client Delay Policy

If a project is delayed due to client non-response or lack of content:

  • OotyTech may temporarily pause the project
  • Projects delayed beyond 30 days may incur a restart or holding fee
  • Projects idle beyond 60 days without communication may be considered cancelled without refund

5. Payments & Fees

Payment terms will be clearly stated in the proposal or invoice.

Unless otherwise stated:

  • 50% advance payment is required to start
  • Remaining 50% on completion before website goes live
  • Payments are non-refundable once development work has commenced

Failure to clear outstanding payments may result in:

  • Withholding website launch
  • Suspension of services
  • Removal of access until dues are cleared

All third-party costs (plugins, licenses, themes, hosting) are client responsibilities unless included in pricing.

6. No Performance or Sales Guarantees

OotyTech provides development services. We do not guarantee:

  • Sales or revenue
  • Business results
  • Leads or conversions
  • Google ranking position
  • SEO performance
  • Customer traffic

Performance depends on multiple external factors beyond our control.

Any marketing results, case studies, or statements are illustrative only.

7. Content Ownership & Intellectual Property

Client Assets

You retain ownership of:

  • Your branding
  • Your content
  • Your provided media

OotyTech Work

Upon full payment:

  • The website design and development customized for you becomes yours
  • However, OotyTech may retain certain core framework, scripts, or reusable components

Until final payment:

  • All development work remains OotyTech property
  • We reserve the right to restrict website launch/access

Portfolio Rights

OotyTech reserves the right to:

  • Display completed projects in portfolios
  • Use screenshots, mockups, and references for marketing purposes
    Unless otherwise requested in writing.

8. Third-Party Tools & Integrations

If third-party plugins, platforms, APIs, or services are used:

  • Functionality is subject to their terms and reliability
  • OotyTech is not liable for outages, security issues, pricing changes, or failures of third-party services
  • Renewals or licensing are the client’s responsibility unless otherwise agreed

9. Hosting & Maintenance

Unless included:

  • OotyTech is not responsible for hosting performance
  • OotyTech is not responsible for backups unless under a maintenance plan
  • OotyTech is not liable for website downtime or server issues

If the client hosts their own site, any fixes required due to hosting-related issues may be chargeable.

10. Security & Liability

OotyTech will follow good practice to ensure secure development; however:

  • No system is 100% hack-proof
  • We are not liable for hacking, malware, data loss, or cyberattacks

Client must maintain:

  • Strong passwords
  • Hosting security
  • Regular backups (or purchase our maintenance service)

11. Compliance & Legal Responsibility

The client is fully responsible for ensuring:

  • Website legal compliance
  • Privacy policies
  • Cookie policies
  • Industry regulations
  • Content legitimacy

OotyTech is not liable for legal consequences resulting from client content or non-compliance.

12. Termination

Either party may terminate upon notice under fair grounds.

If terminated:

  • Fees paid are non-refundable
  • Work completed up to termination remains billable
  • Outstanding payments must be settled

13. Limitation of Liability

To the fullest extent permitted by UAE law:

  • OotyTech shall not be liable for direct, indirect, incidental, consequential, or financial damages
  • Including loss of revenue, profit, data, clients, or business opportunities

Your use of services is at your discretion.

14. Governing Law

These Terms are governed under the laws of the United Arab Emirates.
Any disputes shall be resolved in the applicable UAE jurisdiction.

15. Updates to Terms

OotyTech may update these Terms to reflect business or legal updates. Continued engagement implies acceptance.
